If you click on this link, you will be asked to set up a password for access to the platform. You can use this data to log in to the platform after your access has been activated. It is your responsibility to ensure that your username does not infringe the rights of third parties, in particular no name or trademark rights, and that it does not violate common decency. (2) You must keep the access data including the password secret and not make them accessible to unauthorized third parties. (3) It is also your responsibility to ensure that your access to the platform and the use of the available services are only carried out by you or by the persons authorized by you. If it is to be feared that unauthorized third parties have or will become aware of your access data, the service provider must be informed immediately. You are liable for any use and / or other activity that is carried out under your access data in accordance with the statutory provisions. § 5 Update of user data You are obliged to keep your data (including your contact details) up to date. If the data provided changes during the duration of your participation, please inform us of your changed data immediately by email. § 6 Termination of Use (1) With the termination of your software license agreement, the authorization for access to the platform also expires. From this point on, you may no longer use your access. The service provider reserves the right to block the user name and password after termination. (2) The service provider is entitled to irretrievably delete all data generated in the course of your participation at the end of 30 calendar days after the end of the contractual relationship after the expiry of any statutory retention periods. Services and content on the platform § 7 Range of services and availability of services (1) The service provider makes various information and other services available to you on the platform for use for a limited period of time. (4) The services available on the platform may also include third-party services to which the service provider merely provides access. For the use of such services - which are identified as third-party services - different or additional regulations may apply to these terms of use, to which the service provider will refer you in each case. (5) The service provider guarantees an availability of 96% on a monthly average for all services in his area of responsibility. The regular maintenance windows of the platform, which are every Wednesday between 10:00 and 12:00, are not included in the calculation of availability. (6) Otherwise, there is a right to use the services available on the platform only within the framework of the technical and operational possibilities of the service provider. The service provider endeavors to ensure that his services can be used as uninterrupted as possible. However, technical faults (such as interruption of the power supply, hardware and software errors, technical problems in the data lines) can cause temporary restrictions or interruptions. § 8 Changes to Services The service provider is entitled at any time to change the services provided on the platform, in particular for the purpose of optimization, service expansion, efficiency, security or the provision of services. This can change the presentation of content or features of the respective application without significantly changing the content, use or data of the service. The service provider will take your legitimate interests into account. § 9 Protection of content, responsibility for third party content (1) The content, services or processes available on the platform are predominantly protected by patent law or other property rights and are owned by the service provider or other third party who made the respective content available. The compilation of the contents as such is possibly protected as a database or database work as defined. §§ 4 Abs. 2, 87a Abs. 1 UrhG. You may only use this content within the framework of these terms of use and the underlying software license agreement. Use of the Services by You § 10 Scope of permitted use, monitoring of usage activities (1) Your usage authorization is limited to access to the platform and the use of the available services within the framework of the provisions of these terms of use. (2) You are responsible for creating the technical prerequisites required in your area of responsibility for the contractual use of the services. The service provider does not owe you any advice in this regard. The service provider cannot accept any liability for any compatibility problems that arise due to changed software versions, device or browser functions. The same applies to the online performance of the corresponding hardware. § 11 Generation of new data through your use (1) Insofar as you use the platform and the services offered on it, your inquiries, research or usage data may in turn generate new data records that are anonymously passed on to other users or to the service provider to confirm recommendations or statistics generated by the software . Your personal data will never be passed on without your consent. (2) By using the app, you are granting the service provider a free and transferable right to use the data and content resulting from your use in anonymous form, in particular to store the content on the service provider's server and publish it, in particular by passing it on to other users as part of the service for processing and reproduction, as far as this is necessary for the provision or publication of the respective content, and to grant - also against payment - rights of use to third parties to your content in accordance with § 14. § 12 right to use content available on the platform (1) Unless further use is expressly permitted in these terms of use or is enabled on the platform by a corresponding functionality (e.g. download button), you may only access and display the content available on the platform online for your own purposes. VII. Other provisions § 16 Written form requirement Unless otherwise expressly stated in these Terms of Use and Participation, all declarations made in connection with the use of the app must be submitted in writing or by email. Software license agreement Präambel Der Lizenznehmer plant den zeitlich befristeten Einsatz von Softwareprodukten des Lizenzgebers in seinem Unternehmen. Der Lizenzgeber gewährt daher dem Lizenznehmer auf der Grundlage dieses Vertrags für einen begrenzten Zeitraum den Gebrauch seiner Softwareprodukte durch Zugang zu einer Onlineplattform (https://my.vineyard-cloud.com ). § 1 Definitionen Im Rahmen dieses Vertrags gelten die folgenden Begriffsbestimmungen: „Software“ bezeichnet das in Anlage 1 beschriebene Computerprogramm einschließlich aller dazugehörigen Module, Komponenten und Updates. „Bestellschein“ bezeichnet das vom Lizenznehmer unterzeichnete oder elektronisch bestätigte Dokument, mit dem die vom Lizenzgeber angebotenen Leistungen verbindlich bestellt werden. Der Bestellschein kann in physischer oder elektronischer Form vorliegen und enthält die Angaben zu Lizenztyp, Laufzeit, Preis und weiteren Vertragsparametern. „Hauptlizenz“ bezeichnet die Lizenz, die den Zugang zur Software und ihren Basismodulen ermöglicht und Voraussetzung für die Nutzung von Modullizenzen ist. „Modullizenz“ bezeichnet eine ergänzende Lizenz, die zusätzliche Funktionen oder Module freischaltet und nur zusammen mit mindestens einer gültigen Hauptlizenz genutzt werden kann. „Verbrauchsabhängige Lizenz“ bezeichnet eine Lizenz, bei der die Vergütung auf Grundlage der tatsächlichen Nutzung oder des gemessenen Verbrauchs innerhalb einer Abrechnungsperiode erfolgt. „Technische Kommunikationsschnittstelle (API-Verbindung)“ bezeichnet eine dokumentierte elektronische Verbindung zwischen der Software, den mobilen Anwendungen oder sonstigen Systemkomponenten des Lizenzgebers und den Systemen des Lizenznehmers, über die ein automatisierter Datenaustausch erfolgt. Die Konfiguration dieser Schnittstelle legt fest, auf welche Systeme, Datenbanken oder Serverinstanzen (z. B. Cloud- oder On-Premise-Umgebungen) die Software zugreift. Änderungen, Anpassungen oder Störungen dieser Schnittstellenverbindungen können die Funktionsweise der Software beeinflussen und liegen im Verantwortungsbereich derjenigen Partei, die die jeweilige Systemumgebung bereitstellt. § 2 Vertragsgegenstand Gegenstand dieses Vertrags ist die auf die Vertragslaufzeit befristete Überlassung der Software nebst Einräumung der zu deren vertragsgemäßer Nutzung erforderlichen Rechte nach Maßgabe von § 3. Der Lizenzgeber gewährt dem Lizenznehmer Zugang zu der Software über die Internetplattform https://my.vineyard-cloud.com/ oder – sofern vereinbart – als On-Premise-Installation gemäß § 2a. Nach Abschluss des vorliegenden Vertrags wird der Lizenznehmer für die entsprechende Plattform oder Instanz freigeschaltet. Der Lizenzgeber ist berechtigt, die Software während der Vertragslaufzeit technisch und funktional weiterzuentwickeln, sofern dadurch der vertraglich vereinbarte Leistungsumfang nicht wesentlich eingeschränkt wird. Die Überlassung der Software erfolgt ausschließlich als Nutzungsüberlassung (Software-as-a-Service-Modell) oder – bei entsprechender Vereinbarung – als On-Premise-Bereitstellung. Ein Anspruch auf Herausgabe des Quellcodes oder einer lokal installierbaren Version besteht nicht. § 2a Besondere Bestimmungen für On-Premise-Installationen Sofern die Parteien eine On-Premise-Variante der Software vereinbaren, erfolgt die Installation auf vom Lizenznehmer bereitgestellten Servern oder IT-Systemen. Der Lizenznehmer stellt sicher, dass die eingesetzte Hardware und Systemumgebung den vom Lizenzgeber vorgegebenen technischen Mindestanforderungen entsprechen. Der Lizenzgeber übernimmt im Rahmen des Vertrags die Installation, Wartung, Fehlerbehebung und Bereitstellung von Updates und Upgrades der Software auf den Systemen des Lizenznehmers. Der Lizenzgeber haftet nicht für Systemausfälle, Datenverluste oder Sicherheitsvorfälle, die auf die Systemumgebung, Netzwerkkonfiguration, Sicherheitsmaßnahmen oder Hardware des Lizenznehmers zurückzuführen sind. Der Lizenznehmer trägt die Verantwortung für die Datensicherung (Backups) seiner Systeme, sofern nicht ausdrücklich schriftlich eine gesonderte Backup-Dienstleistung durch den Lizenzgeber vereinbart wurde. Sofern zur Durchführung von Wartungsarbeiten ein Fernzugriff erforderlich ist, gewährt der Lizenznehmer dem Lizenzgeber die hierfür notwendigen Zugriffsrechte. Der Lizenzgeber verpflichtet sich, diese Zugriffe ausschließlich zur Erfüllung der vereinbarten Wartungs- und Supportleistungen zu nutzen. Im Übrigen gelten die Bestimmungen dieses Vertrags entsprechend, soweit sie nicht ausschließlich auf Cloud-Dienste (SaaS) bezogen sind. Sofern im Zusammenhang mit einer On-Premise-Installation mobile Anwendungen (Android-, iOS- oder plattformübergreifende Apps) bereitgestellt werden, werden diese als Whitelabel-Variante der durch die Vineyard Cloud GmbH veröffentlichten Standard-Apps bereitgestellt. Die Apps bleiben im Eigentum und unter der Store-Registrierung des Lizenzgebers, greifen jedoch über individuell konfigurierte technische Kommunikationsschnittstellen (API-Verbindungen) ausschließlich auf die On-Premise-Instanz des Lizenznehmers zu. Der Lizenznehmer erhält ein einfaches, nicht übertragbares Nutzungsrecht an der Whitelabel-App für den internen Gebrauch innerhalb seines Unternehmens. Der Lizenzgeber haftet nicht für Einschränkungen, Performanceabweichungen oder Inkompatibilitäten, die aus der Anbindung an die Infrastruktur des Lizenznehmers resultieren. Die Verantwortung für die Einhaltung sämtlicher datenschutz-, arbeits- oder branchenspezifischer Vorschriften bei der Nutzung der App liegt beim Lizenznehmer. § 3 Rechteeinräumung Der Lizenznehmer erhält mit vollständiger Bezahlung des Entgelts gemäß § 4 dieses Vertrages das nicht-ausschließliche, zeitlich auf die Laufzeit des Vertrags beschränkte, nicht übertragbare und nicht unterlizenzierbare Recht zur Nutzung der Software im in diesem Vertrag eingeräumten Umfang. Die Nutzung darf ausschließlich auf der vom Lizenzgeber bereitgestellten Plattform oder On-Premise-Instanz erfolgen. Der Lizenznehmer ist nicht berechtigt, den gewährten Zugang oder eingeräumte Nutzungsrechte an Dritte zu übertragen oder Dritten anderweitig Zugang zur Plattform oder Instanz zu gewähren, sofern diese Personen nicht vom Lizenzgeber autorisiert oder über entsprechende Benutzerkonten registriert wurden. Verstößt der Lizenznehmer gegen eine der vorstehenden Bestimmungen, werden sämtliche im Rahmen dieses Vertrags erteilten Nutzungsrechte sofort unwirksam und fallen automatisch an den Lizenzgeber zurück. In diesem Fall hat der Lizenznehmer die Nutzung der Software unverzüglich und vollständig einzustellen sowie sämtliche Zugänge zu sperren oder zu löschen. § 4 Entgelt, Fälligkeit und Verzug Die Vergütung für die Gebrauchsgewährung beträgt den im Bestellschein ausgewiesenen einmaligen, verbrauchsabhängigen, monatlichen oder jährlichen Lizenzpreis zuzüglich der jeweils gültigen Umsatzsteuer. Maßgeblich ist das Umsatzsteuerrecht des Sitzstaates des Lizenznehmers: Bei Unternehmen mit Sitz in einem EU-Mitgliedstaat außerhalb Deutschlands erfolgt die Abrechnung ohne deutsche Umsatzsteuer nach dem Reverse-Charge-Verfahren, sofern eine gültige USt-IdNr. vorliegt. Bei Kunden außerhalb der Europäischen Union erfolgt die Abrechnung ohne Umsatzsteuer, sofern die Leistung nach deutschem Recht als Ausfuhrleistung gilt. Die Zahlung der Lizenzvergütung hat innerhalb von 14 Tagen ab Rechnungsstellung zu erfolgen. Bei verbrauchsabhängigen Lizenzen erfolgt die Rechnungsstellung nach Ablauf der jeweiligen Abrechnungsperiode auf Basis des tatsächlichen Verbrauchs. Entscheidet sich der Lizenznehmer für den Einzug der Rechnung im SEPA-Lastschriftverfahren, erfolgt der Einzug der Lizenzvergütung bei zeitbasierten Lizenzen (monatlich oder jährlich) drei Bankarbeitstage nach dem Rechnungsdatum, jeweils im Voraus für den entsprechenden Abrechnungszeitraum, bei verbrauchsabhängigen Lizenzen drei Bankarbeitstage nach Rechnungsstellung am Ende der Abrechnungsperiode. Der Lizenzgeber ist berechtigt, die Lizenzpreise angemessen anzupassen, wenn sich die Kosten für die Bereitstellung der Software, des Hostings oder der erforderlichen Drittleistungen (z. B. Infrastruktur-, Speicher-, API- oder Lizenzkosten) erhöhen. Preisanpassungen werden dem Lizenznehmer mindestens sechs Wochen vor Inkrafttreten in Textform mitgeteilt. Der Lizenznehmer ist berechtigt, den Vertrag innerhalb von 14 Tagen nach Zugang der Mitteilung zum Zeitpunkt des Wirksamwerdens der Preisanpassung zu kündigen. Unterbleibt eine Kündigung, gilt die Preisanpassung als angenommen. Gerät der Lizenznehmer mit der Zahlung in Verzug, betragen die Verzugszinsen neun Prozentpunkte über dem jeweils gültigen Basiszinssatz. Im Falle einer Rücklastschrift, die der Lizenznehmer zu vertreten hat, trägt dieser die dadurch entstehenden Bankkosten sowie eine Bearbeitungspauschale von 10 €. Dem Lizenznehmer bleibt der Nachweis vorbehalten, dass ein geringerer oder kein Schaden entstanden ist. Bei Zahlungsverzug erfolgt die Mahnung nach folgendem gestaffelten Verfahren: 15 Tage nach Fälligkeit: Zahlungserinnerung (ohne Gebühr), 7 Tage nach der Zahlungserinnerung: Erste Mahnung mit einer Mahngebühr von 10 €, 7 Tage nach der ersten Mahnung: Zweite Mahnung mit einer Mahngebühr von 20 €, 7 Tage nach der zweiten Mahnung: Letzte Zahlungsaufforderung mit einer Mahngebühr von 30 €. Bleibt die Zahlung danach weiterhin aus, behält sich der Lizenzgeber vor, die Forderung an ein Inkassounternehmen oder einen Rechtsanwalt zu übergeben. Hierdurch entstehende weitere Kosten trägt der Lizenznehmer, soweit er den Zahlungsverzug zu vertreten hat. § 5 Schutz der Software Der Lizenznehmer ist verpflichtet, die Software sowie alle bereitgestellten Zugangsdaten, Systeme und Schnittstellenzugänge durch geeignete technische und organisatorische Maßnahmen vor dem Zugriff durch unbefugte Dritte zu sichern. Dies gilt unabhängig davon, ob die Software über die Cloud-Plattform oder über eine On-Premise-Instanz genutzt wird. § 6 Laufzeit und Kündigung Das Vertragsverhältnis beginnt mit dem Datum der Auftragserteilung. Die Laufzeit richtet sich nach der im Bestellschein vereinbarten Lizenzart und kann verbrauchsabhängig, monatlich, 12 Monate oder 24 Monate betragen. Eine Abrechnungsperiode läuft jeweils vom Datum der Auftragserteilung bis zum Vortag desselben Datums der folgenden Periode. Verbrauchsabhängige Lizenzen werden ohne feste Laufzeit abgeschlossen. Sie können jederzeit mit Wirkung zum Ende der laufenden Abrechnungsperiode gekündigt werden. Monatsverträge können mit einer Frist von einem Tag zum Ende der laufenden Abrechnungsperiode gekündigt werden. Erfolgt keine fristgerechte Kündigung, verlängert sich der Vertrag automatisch um jeweils einen weiteren Monat. 12- und 24-Monatsverträge können mit einer Frist von drei Monaten zum Ende der jeweiligen Laufzeit gekündigt werden. Erfolgt keine fristgerechte Kündigung, verlängert sich der Vertrag automatisch um weitere 12 Monate. Mit jeder Verlängerung des Vertragsverhältnisses gelten automatisch die zum Zeitpunkt der Verlängerung aktuellen Fassungen des Softwarelizenzvertrags und der Nutzungsbedingungen des Lizenzgebers. Der Lizenzgeber wird den Lizenznehmer mindestens 30 Kalendertage vor Ablauf der jeweiligen Vertragslaufzeit über etwaige Änderungen dieser Bedingungen informieren. Sofern der Lizenznehmer den Änderungen nicht bis zum Ablauf der Vertragslaufzeit widerspricht oder den Vertrag fristgerecht kündigt, wird der Vertrag zu den geänderten Bedingungen fortgesetzt. Ein während der laufenden Vertragsperiode erklärter Widerspruch hat keine Auswirkung auf deren Fortbestand, sondern bewirkt lediglich, dass die neuen Bedingungen erst mit Beginn der nächsten Vertragsperiode Anwendung finden. Das Recht zur außerordentlichen Kündigung aus wichtigem Grund bleibt unberührt. Modullizenzen können nur in Verbindung mit mindestens einer gültigen Hauptlizenz genutzt werden. Endet eine Hauptlizenz, wird die Nutzung der damit verbundenen Modullizenzen zum selben Zeitpunkt automatisch ausgesetzt. Bereits im Voraus gezahlte Lizenzentgelte für Modullizenzen gelten als pauschale Vergütung für die bereitgestellte Nutzungsmöglichkeit und werden nicht anteilig erstattet, auch wenn die Hauptlizenz vorzeitig endet. Kündigungen bedürfen der Textform (z. B. per E-Mail) und müssen unter Angabe der jeweiligen Vertragsnummer und Kundennummer erfolgen, um eindeutig zugeordnet werden zu können. Maßgeblich für die Rechtzeitigkeit der Kündigung ist der Zugang der Kündigungserklärung beim Lizenzgeber. § 7 Instandhaltung Der Lizenzgeber leistet Gewähr für die Aufrechterhaltung der vertraglich vereinbarten Beschaffenheit der Software während der Vertragslaufzeit sowie dafür, dass einer vertragsgemäßen Nutzung der Software keine Rechte Dritter entgegenstehen. Der Lizenzgeber wird auftretende Sach- und Rechtsmängel an der Software in angemessener Zeit beseitigen. Die Instandhaltung umfasst regelmäßig Fehlerbehebung, Funktionspflege und Sicherheits-Updates. Bei On-Premise-Installationen erfolgt die Wartung im Rahmen der in § 2a beschriebenen Verfahren. Der Lizenznehmer ist verpflichtet, dem Lizenzgeber Mängel der Software nach deren Entdeckung unverzüglich in Textform anzuzeigen. Bei Sachmängeln erfolgt die Meldung unter Beschreibung der Zeit des Auftretens, der näheren Umstände und – soweit möglich – durch Bereitstellung von Log- oder Diagnosedaten. Nicht zu den Instandhaltungsleistungen gehören Änderungen der Software, die auf Wunsch des Lizenznehmers erfolgen oder durch Systemänderungen im Einflussbereich des Lizenznehmers erforderlich werden. Solche Anpassungen werden gesondert vergütet. § 8 Haftung Der Lizenzgeber haftet unbeschränkt bei Vorsatz oder grober Fahrlässigkeit, für die Verletzung von Leben, Leib oder Gesundheit, nach den Vorschriften des Produkthaftungsgesetzes sowie im Umfang einer vom Lizenzgeber übernommenen Garantie. Bei leicht fahrlässiger Verletzung einer Pflicht, deren Erfüllung die ordnungsgemäße Durchführung des Vertrages überhaupt erst ermöglicht und auf deren Einhaltung der Lizenznehmer regelmäßig vertrauen darf (sog. Kardinalpflicht), ist die Haftung des Lizenzgebers der Höhe nach begrenzt auf den Schaden, der nach der Art des fraglichen Geschäfts vorhersehbar und typisch ist. Eine weitergehende Haftung des Lizenzgebers besteht nicht. Die vorstehende Haftungsbeschränkung gilt auch für die persönliche Haftung der Mitarbeiter, Vertreter und Organe des Lizenzgebers. Der Lizenzgeber bedient sich eigener Datenquellen sowie „Open Data Public Providern“ (z. B. Wetterdienste), um dem Lizenznehmer kontextbezogene, personalisierte Informationen, Statistiken, Prognosen, Empfehlungen oder Warnungen zur Verfügung zu stellen. Diese Informationen dienen ausschließlich der betrieblichen Unterstützung und ersetzen keine eigenverantwortliche Prüfung durch den Lizenznehmer. Der Lizenzgeber übernimmt keine Haftung für die Richtigkeit, Aktualität, Vollständigkeit oder erfolgssichere Umsetzung der auf der Plattform oder Instanz verfügbaren Informationen. Die in der Software bereitgestellten Funktionen, Daten und Empfehlungen im Zusammenhang mit dem Einsatz von Pflanzenschutz- und / oder Düngemitteln dienen ausschließlich der betrieblichen Unterstützung und ersetzen nicht die eigenverantwortliche Prüfung der jeweiligen rechtlichen und fachlichen Anforderungen durch den Lizenznehmer. Der Lizenzgeber übernimmt keine Haftung für Schäden oder Verstöße, die aus der Nichtbeachtung von Gebrauchsanweisungen, Zulassungsbestimmungen, Anwendungsauflagen, Wartezeiten, Betretungsverboten, maximal zulässigen Aufwandmengen oder sonstigen gesetzlichen, behördlichen, sicherheits- oder umweltrelevanten Vorgaben resultieren. Die Verantwortung für die korrekte Anwendung und Dokumentation liegt allein beim Lizenznehmer. Soweit die Software Pflanzenschutzmittel- und / oder Düngemitteldaten aus externen oder behördlichen Quellen (insbesondere der BVL-Datenbank, https://psmregister.bvl.bund.de ) automatisiert bereitstellt, erfolgen Abruf und Anzeige ohne Gewähr für Aktualität, Vollständigkeit oder Richtigkeit der Daten. Der Lizenznehmer kann daneben eigene Pflanzenschutz- und / oder Düngemittel samt Dosierungen, Auflagen und weiteren Metadaten in der Software anlegen oder bestehende Datensätze bearbeiten. Für alle vom Lizenznehmer selbst angelegten oder geänderten Daten übernimmt der Lizenzgeber keine Verantwortung oder Haftung – unabhängig davon, in welchem Land die Software eingesetzt wird. Die in der Software verfügbaren Funktionen zur Zeiterfassung von Mitarbeitern dienen ausschließlich der betrieblichen Kalkulation, internen Planung und Kostenrechnung. Sie sind nicht als rechtskonforme Arbeitszeiterfassung im Sinne der jeweils national geltenden arbeitsrechtlichen Vorschriften (z. B. Arbeitszeitgesetz, Richtlinie 2003/88/EG oder entsprechende nationale Regelungen anderer Mitgliedstaaten) konzipiert oder zertifiziert. Der Lizenzgeber übernimmt keine Haftung für Verstöße gegen arbeitszeitrechtliche Bestimmungen, die aus einer fehlerhaften oder zweckwidrigen Nutzung dieser Funktionen resultieren. Die Verantwortung für die ordnungsgemäße Erfassung und Dokumentation der Arbeitszeiten im Sinne der gesetzlichen Vorgaben liegt allein beim Lizenznehmer. § 9 Datenschutz Der Lizenzgeber verarbeitet personenbezogene Daten vertraulich sowie im Einklang mit den geltenden Datenschutzgesetzen, insbesondere der Datenschutz-Grundverordnung (DSGVO). Eine Weitergabe an Dritte erfolgt nur, soweit hierfür eine gesetzliche Grundlage besteht oder dies zur Vertragserfüllung erforderlich ist. Sofern der Lizenznehmer personenbezogene Daten im Rahmen der Software verarbeitet, wird zwischen den Parteien eine gesonderte Vereinbarung zur Auftragsverarbeitung gemäß Art. 28 DSGVO geschlossen. Der Lizenzgeber verarbeitet personenbezogene Daten des Lizenznehmers nur, soweit hierfür eine ausdrückliche Einwilligung vorliegt oder eine gesetzliche Grundlage besteht. Eine erteilte Einwilligung kann jederzeit mit Wirkung für die Zukunft widerrufen werden. Der Lizenzgeber weist darauf hin, dass bestimmte Funktionen der Software auf Infrastrukturen oder Diensten Dritter (z. B. Hosting-Provider, Karten- und Push-Services) basieren können. Soweit hierbei personenbezogene Daten verarbeitet werden, erfolgt dies ausschließlich im Rahmen der Datenschutzbestimmungen des Lizenzgebers und der jeweils geltenden Datenschutzstandards der Drittanbieter. Alle im Rahmen der Nutzung der Software erhobenen, verarbeiteten oder genutzten personenbezogenen Daten werden grundsätzlich auf Servern mit Standort Deutschland gespeichert, soweit keine anderweitigen gesetzlichen oder vertraglichen Vereinbarungen bestehen. Für On-Premise-Installationen gilt ergänzend: Die Verantwortung für den Betrieb, die technische und organisatorische Sicherheit sowie den Schutz der vom Lizenznehmer betriebenen Systeme und Datenbanken liegt ausschließlich beim Lizenznehmer. Der Lizenzgeber hat in diesem Fall keinen Zugriff auf personenbezogene Daten, es sei denn, der Lizenznehmer gewährt diesen Zugriff im Rahmen von Wartungs- oder Supportleistungen ausdrücklich, zeitlich begrenzt und im Einklang mit einer gesonderten Vereinbarung nach Art. 28 DSGVO § 9a Datennutzung (Nutzungsdaten) Mit der Nutzung der Plattform oder einer On-Premise-Installation können im Rahmen der Systemnutzung technische, betriebliche oder statistische Daten entstehen („Nutzungsdaten“). Der Lizenzgeber darf diese Daten in anonymisierter oder aggregierter Form zur Verbesserung, Analyse und Weiterentwicklung seiner Systeme, Algorithmen und Auswertungen verwenden. Bei On-Premise-Installationen gilt dies nur, soweit der Lizenznehmer dem Lizenzgeber den Zugriff auf die hierfür erforderlichen anonymisierten oder aggregierten Daten ausdrücklich gestattet oder diese im Rahmen von Wartungs- oder Supportleistungen zur Verfügung stellt Eine Re-Identifizierung natürlicher Personen oder einzelner Betriebe ist ausgeschlossen. Die Nutzung erfolgt ausschließlich im Einklang mit der Datenschutz-Grundverordnung (DSGVO) und der Verordnung (EU) 2023/2854 („Data Act“) und berührt nicht die Eigentums- oder Verfügungsrechte des Lizenznehmers an den zugrunde liegenden Originaldaten. § 9b Datenverarbeitung durch Reseller Soweit der Lizenznehmer als Reseller im Rahmen der Software eigene Kunden, Lieferanten oder sonstige Dritte verwaltet, ist er für die dabei erfolgende Verarbeitung personenbezogener Daten verantwortliche Stelle im Sinne der DSGVO. Der Lizenzgeber stellt die Software ausschließlich als technische Infrastruktur bereit und verarbeitet die hierbei anfallenden Daten im Auftrag des Lizenznehmers gemäß der gesonderten Vereinbarung zur Auftragsverarbeitung nach Art. 28 DSGVO. Der Reseller verpflichtet sich, sämtliche Informations-, Dokumentations- und Nachweispflichten nach der DSGVO gegenüber seinen eigenen Kunden zu erfüllen und sicherzustellen, dass jede Nutzung, Auswertung oder Weitergabe personenbezogener Daten auf einer zulässigen Rechtsgrundlage beruht. Die Datenverarbeitung innerhalb der Software erfolgt mandantengetrennt. Eine Nutzung, Einsichtnahme oder Weitergabe von Daten anderer Mandanten, Reseller oder deren Endkunden ist ausgeschlossen. Der Lizenznehmer darf nur auf Daten zugreifen, die seiner eigenen Mandanten- oder Kundeninstanz zugeordnet sind. Dies gilt unabhängig davon, ob die Software als Cloud- oder On-Premise-Variante betrieben wird. Der Lizenzgeber ist berechtigt, anonymisierte oder aggregierte Daten mandantenübergreifend zu analysieren, um die Software, deren Algorithmen und Leistungsfähigkeit zu verbessern, sofern hierbei kein Personen- oder Unternehmensbezug hergestellt werden kann (§ 9a). Im Übrigen gelten die Regelungen zur Datenverarbeitung und Datensicherheit dieses Vertrags entsprechend § 9c Datensicherheit Der Lizenzgeber verpflichtet sich, geeignete technische und organisatorische Maßnahmen im Sinne von Art. 32 DSGVO zu treffen, um ein dem Risiko angemessenes Schutzniveau für die im Rahmen der Software verarbeiteten Daten sicherzustellen. Diese Maßnahmen umfassen insbesondere den Schutz vor unbefugtem Zugriff, Verlust oder Veränderung von Daten sowie regelmäßige Sicherungen und Zugriffskontrollen. Bei On-Premise-Installationen liegt die Verantwortung für den technischen Betrieb, die Datensicherung und die Umsetzung der erforderlichen technischen und organisatorischen Maßnahmen beim Lizenznehmer. Der Lizenzgeber hat nur Zugriff auf die Systeme, soweit dies zur Durchführung von Wartungs- oder Supportleistungen ausdrücklich und zeitlich begrenzt gestattet wird. Der Lizenznehmer ist verpflichtet, in seinem eigenen Verantwortungsbereich alle notwendigen Maßnahmen zu treffen, um die Sicherheit seiner Zugänge, Endgeräte und Netzwerke zu gewährleisten und unbefugten Zugriff auf die Software zu verhindern. § 10 Ergänzende Bestimmungen Die Registrierung zur Nutzung der Software erfolgt über ein Online-Formular auf www.vy-c.com . Nach Eingang der Registrierungsanfrage wird der Hauptbenutzer (Administrator) für die Instanz manuell durch den Lizenzgeber oder einen autorisierten Vertriebspartner angelegt. Der Hauptbenutzer ist berechtigt, innerhalb seiner Instanz weitere Benutzerkonten anzulegen und zu verwalten. Beim erstmaligen Login in die mobilen Anwendungen wird jeder Benutzer aufgefordert, die jeweils gültigen Nutzungsbedingungen und Datenschutzbestimmungen zur Kenntnis zu nehmen und zu akzeptieren. Diese Zustimmung dient ausschließlich der Nutzerinformation und ersetzt nicht den Abschluss des Softwarelizenzvertrags zwischen Lizenzgeber und Lizenznehmer. Der Lizenznehmer ist verpflichtet, die Zugangsdaten zu allen Benutzerkonten sicher zu verwahren und unbefugten Dritten keinen Zugriff auf die Plattform, Instanz oder App zu gewähren. Der Lizenzgeber haftet nicht für Schäden, die aus dem Missbrauch von Zugangsdaten resultieren, sofern er den Missbrauch nicht zu vertreten hat. Änderungen oder Erweiterungen der Software, die der Lizenzgeber im Rahmen der Weiterentwicklung vornimmt, können Anpassungen an der Benutzeroberfläche, der Datenstruktur oder an Schnittstellen (technische Kommunikationsschnittstellen gemäß § 1) erfordern. Solche Änderungen gelten als vertragsgemäß, sofern sie den vereinbarten Leistungsumfang nicht wesentlich beeinträchtigen. Bei On-Premise-Installationen verpflichtet sich der Lizenznehmer, dem Lizenzgeber alle für den Betrieb der Software erforderlichen Systeminformationen und Zugriffsrechte zur Verfügung zu stellen, um Support-, Wartungs- oder Updateleistungen ordnungsgemäß durchführen zu können. § 11 Sonstiges Der Lizenznehmer darf Rechte und Pflichten aus oder im Zusammenhang mit diesem Vertrag nur nach vorheriger schriftlicher Zustimmung des Lizenzgebers auf Dritte übertragen. Eine Aufrechnung ist nur gegenüber unbestrittenen oder rechtskräftig festgestellten Forderungen des Lizenzgebers zulässig. Änderungen und Ergänzungen dieses Vertrags bedürfen der Schriftform. Dies gilt auch für die Änderung oder Aufhebung dieser Schriftformklausel selbst. Textform genügt, soweit gesetzlich zulässig und zwischen den Parteien ausdrücklich vereinbart ist. Allgemeine Geschäftsbedingungen des Lizenznehmers finden keine Anwendung, auch wenn der Lizenzgeber ihrer Geltung im Einzelfall nicht ausdrücklich widerspricht. Auf diesen Vertrag findet ausschließlich das Recht der Bundesrepublik Deutschland Anwendung, unter Ausschluss des Übereinkommens der Vereinten Nationen über Verträge über den internationalen Warenverkauf (UN-Kaufrecht, CISG). Gerichtsstand für alle Streitigkeiten aus oder im Zusammenhang mit diesem Vertrag ist – soweit rechtlich zulässig – der Sitz des Lizenzgebers. Der Lizenzgeber ist jedoch berechtigt, den Lizenznehmer auch an dessen allgemeinen Gerichtsstand zu verklagen. Erfüllungsort für alle Leistungen des Lizenzgebers ist dessen Geschäftssitz. Für Leistungen des Lizenznehmers gilt als Erfüllungsort dessen Sitz, sofern nichts Abweichendes vereinbart wurde. Sollte eine Bestimmung dieses Vertrags unwirksam oder undurchführbar sein oder werden, bleibt die Wirksamkeit der übrigen Bestimmungen unberührt. Die Parteien verpflichten sich, die unwirksame oder undurchführbare Bestimmung durch eine solche zu ersetzen, die dem wirtschaftlichen Zweck der ursprünglichen Bestimmung am nächsten kommt. Gleiches gilt im Fall einer Regelungslücke.
